Welcome to the online service of TooStep which is provided by Info Edge (India) Limited. TooStep uses various channels like TooStep.com Knowledge exchange network , TooStep JobSites and TooStep applications on social networks to provide its services .

Read this agreement carefully. You may use the TooStep services (as defined herein below) only on the condition that you agree to comply with all of the terms in this agreement.

By using or registering for the TooStep services, you are agreeing electronically to the following terms and conditions (the "terms of service"). If you do not agree to these terms, do not use the TooStep services.

1. Acceptance of terms of use of TooStep Service

1. The online service provided by TooStep is to enable executives in   finding and connecting with other professionals more effectively (the TooStep service). Whether looking to enhance/share knowledge, brand yourself on the web, getting answers to your professional questions, or being part of niche communities, you can also connect with thousands of professionals who are users of the TooStep service.

2. Nothing in this terms of service shall be deemed to confer any third-party rights or benefits.

3. We reserve the right to modify this agreement at any time, and without prior notice, by posting amended terms on online channels of TooStep Service. Your continued use of the TooStep service indicates your acceptance of the amended terms of service. 

4. The information provided on this web site includes, but is not limited to, the services provided by TooStep and do not render any advice, certifications, guarantees or warranties relating to the TooStep services.

2. Eligible users

The TooStep service is not available to minors under the age of 18 or to any users suspended or removed from the system by TooStep for any reason. Users may not have more than one active account. Additionally, users are prohibited from selling, trading, or otherwise transferring their TooStep account to another party. If you do not qualify, you may not use the TooStep service.

3. Purpose

Your use of the TooStep service is governed by this terms of service. TooStep may refuse service without prior notice to any user for any or no reason. You are responsible for maintaining the confidentiality of your password and account, and are fully responsible for all activities that occur under your password or account with or without your knowledge. If you knowingly provide your login and password information to another person, your account privileges may be suspended temporarily or terminated. You agree to immediately notify TooStep of any unauthorized use of your password or account or any other breach of security. TooStep cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

4. Access to service and obligations

You shall not host, display, upload, modify, publish, transmit, update or share any information that:

1. is unlawful, libellous, abusive, obscene, discriminatory, or otherwise objectionable;

2. falsely state, impersonate, or otherwise misrepresent your identity, including but not limited to the use of a pseudonym, or misrepresenting your current or previous positions and qualifications, or your affiliations with a person or entity, past or present;

3. you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships (such as insider information, or proprietary and confidential information learned or disclosed as  part of employment relationships or under nondisclosure agreements);

4. is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever (c) harm minors in any way;

5. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or or public order or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting any other nation;

6. deceives or misleads the addressee/ users about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;

7. directly or indirectly breach the terms of an employment contract or any other contract executed by you;

8. infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights;

You understand and agree not to use TooStep:

9. for any illegal purpose, including but not limited to conspiring to violate laws;

10. to upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation. This prohibition includes but is not limited to

(i) using TooStep invitations to send messages to people who don't know you or who are unlikely to recognize you as a known contact;

(ii) using TooStep to connect to people who don't know you and then    sending unsolicited promotional messages to those direct connections without their permission; and

(iii) sending messages to distribution lists, newsgroup aliases, or group aliases.

11. to upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the  functionality of any computer software or hardware or telecommunications equipment;

12. to Stalk or harass anyone;

13. to forge headers or otherwise manipulate identifiers in order to disguise the origin of any  communication transmitted through the TooStep service;

14. to post content in fields that are not intended for that content. Example: putting an address in a name or title field;

15. to interfere with or disrupt the TooStep service or servers or networks connected to the TooStep service, or disobey any requirements, procedures, policies or regulations of networks connected to the TooStep service;

16. to use of manual or automated software, devices, or other processes to crawl or spider any web pages contained in the TooStep service is strictly prohibited. You agree not to monitor or copy, or allow others to monitor or copy, our web pages or the content included herein. You also agree not to frame or otherwise simulate the appearance or function of this service. Furthermore, you agree not to take any action that interferes with the proper working of or places an unreasonable load on our infrastructure, including but not limited to unsolicited communications, attempts to gain unauthorized access, or transmission or activation of computer viruses;

17. in any manner which violates any law for the time being in force

Recognizing the global nature of the internet, you agree to comply with all applicable local rules including but not limited to rules regarding online conduct and acceptable content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from India or the country in which you reside.

5. Other services 

5.1 articles posted on the web site are form of knowledge and are primarily for the users of the service to share and enhance their knowledge regarding a specified field of operation or of interest to them. TooStep does not allow any user to post article which directly or indirectly is against any cast, religion, creed or sex or which involves racial discrimination, articles which directly or indirectly are against the purpose of TooStep will be removed and action against users who are found responsible of posting them will be as per the sole discretion of TooStep. TooStep software will automatically send you relevant articles to you as per your preferences. You can change your set preferences accordingly to receive articles for your benefit.

5.2 you will find a host of communities which are currently operating on the service and many more will be formed during the course of your usage. You can join, form and refer communities according to your area of interest; you can also invite other users and non-users to join communities which you think will be of interest to them. Communities are basically found to bring closer like minded professional people to interact with each other following a common professional interest. Communities formed to promote any racial discrimination, violate any cast, nationality or laws are not entertained by the TooStep.

            in case if you create, refer any community and invite any user/nonuser, you will be entirely held responsible for the actions you take. A user has the right to accept or to reject any such invitation or referral to a community.

5.3 you can post job openings in your company, free of cost and can refer the same to your friends and community members. You can also refer a job posted by another user to your friends and community members. In case of referring a sponsored job posted by a company the referrer will be entitled to a part of the referral amount entirely at the discretion of TooStep.

5.4 TooStep referral rewards is a process that allows TooStep members to refer each other job opportunities posted on the site by companies. The referral rewards business model and process includes financial awards that are distributed when a person who is referred for a sponsored job (hereinafter, the "candidate") is hired by the company which has posted the sponsored job. Awards are given to

(a) the member who referred the sponsored job to the candidate (hereinafter, the "recommender"), and

(b) the member who invited the hired candidate to join the TooStep site (hereinafter, the "inviter"). The following limitations apply to these awards: (i) for any particular job

(c)      referral rewards are not for individually posted jobs, it is valid only in the case of sponsored job posting from a company on the TooStep network.

(d) referral rewards will be payable only after the hired candidate completes a specific period as determined by TooStep in the company who has posted the sponsored job. 

6. TooStep can ask for a refund if  they realize at a later point of time that the referral reward should not have been paid in the first instance for whatever reason.

7. TooStep shall not be responsible for procedural or other lapses that lead to wrong invoicing, incorrect identification of referral fee due, payment collection, payment release, etc.

8. The referral rewards are given entirely at the discretion of TooStep; TooStep will not be liable to pay any reward to the concerned person in case the listed company fails to make the payment to TooStep.

(e) you agree to bear sole responsibility for any banking charges. You agree that the referral rewards received by you will be reduced to reflect any banking charges that TooStep may be required to pay in the course of making any such payment to you.

(f) you agree that the referral received by you will be reduced to reflect any service tax, TDS or any such tax as applicable for the country in which we are operating.

(g) TooStep has no control over the quality, safety or legality of the jobs, resumes or user profiles posted, the truth or accuracy of the listings, the ability of employers to offer job opportunities to candidates or the ability of candidates to fill job openings or any user content and makes no representations about any jobs, resumes or user content on TooStep.com

(h) TooStep cannot guarantee and does not promise any specific results from use of TooStep.com. No advice or information, whether oral or written, obtained by a user from TooStep shall create any warranty not expressly stated herein.

(i) TooStep is under no circumstances responsible for what ever damage or loss that in any way may arise or result due to

• Any dispute between employer-employer, employer-jobseeker, jobseeker-jobseeker, arising out of the use of the site or from

• Risk of physical harm, of dealing with strangers, foreign nationals, underage persons or people acting under false information.

• Any inaccuracy, reliability, completeness, or timeliness of TooStep

(j) in the event that you are engaged upon a company sponsored job then you must advise TooStep and the referrer that you have been successful and confirm the band into which your basic salary falls prior to the commencement of the company sponsored job. The fee we receive depends upon the amount of your basic salary. A referrer may be able to deduce the salary band into which your basic starting salary falls. You shall not claim any commission from TooStep or its employees.

5.5 in the course of providing you services, TooStep may need to communicate with you via email (see our privacy policy to learn more about communications). You agree to receive emails which are specific to your account and necessary for the normal functioning of the TooStep service, including a series of welcome emails which help inform new users about various features of the TooStep service. You also agree to have your name and/or email address listed in the header of certain communications which you initiate through the TooStep service. 

6. Security 

6.1 in the course of using the TooStep service, users may provide information about themselves which may be visible to certain other users (see our privacy policy to learn more about information collected by this service). You understand that by posting materials on the TooStep service or otherwise providing materials to TooStep, you are granting to TooStep a royalty-free, perpetual, irrevocable license to use this information in the course of offering the TooStep service. Furthermore, you understand that TooStep retains the right to reformat, excerpt, or translate any materials submitted by you. You understand that all information publicly posted or privately transmitted through the TooStep service is the sole responsibility of the person from which such content originated and that TooStep will not be liable for any errors or omissions in any content. You understand that TooStep cannot guarantee the identity of any other users with whom you may interact in the course of using the TooStep service. Additionally, we cannot guarantee the authenticity of any data which users may provide about themselves or relationships they may describe.

6.2 while we have the right to monitor activity and content associated with the TooStep service, we are not obligated to do so. And since we do not, and may not have the ability to, control or actively monitor content we don't guarantee its accuracy, integrity or quality. Because community standards vary and individuals sometimes choose not to comply with our policies and practices, in the process of using our service, you may be exposed to content that you find offensive or objectionable.

6.3 you can contact TooStep at customerservice@TooStep.com to let us know of content that you find objectionable. We may investigate the complaints and violations of our policies that come to our attention and may take any action that we believe is appropriate, including, but not limited to issuing warnings, removing the content or terminating accounts. However, because situations and interpretations vary, we also reserve the right not to take any action. Under no circumstances will we be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any content on the online channels of TooStep.

7. Charges

Signing up for a basic TooStep account is free. Certain other services are provided for free only to beta users. TooStep reserves the right to charge for the TooStep service or any portion thereof, modify the pricing of, add to, or discontinue the TooStep service or any portion thereof without prior notice. 

8. Indemnification

by accepting this terms of service, you agree to indemnify and otherwise hold harmless, TooStep, its officers, employees, agents, subsidiaries, affiliates and other partners from any direct, indirect, incidental, special, consequential or exemplary damages resulting from

1. Your use of the TooStep service;

8.2 unauthorized access to or alteration of your communications with or through the TooStep service, or

8.3       any other matter relating to the TooStep service.

            any business transactions which may arise between users from their use of TooStep are the sole   responsibility of the users involved. Without limitation of the terms and conditions set forth in our privacy policy, you understand and agree that TooStep may disclose personally identifiable information if required to do so by law or in the good faith belief that such disclosure is reasonably necessary to comply with legal process, enforce this terms of service, or protect the rights, property, or safety of TooStep, its users, and the public.

       9. Disclaimer

You understand and agree that the TooStep service is provided on an as is and as available basis and that TooStep does not assume any responsibility for prompt or proper delivery, or retention of any user information or communications between users. TooStep assumes no responsibility for the accuracy or existence of any communications between users. TooStep expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

TooStep makes no warranty that:-

1. The TooStep service will meet your requirements,

2. The TooStep service will be uninterrupted, timely, secure, or   error-free,

3. The results that may be obtained from use of the TooStep service will be accurate or reliable,

4. the quality of any services, information, or other material obtained by you through the TooStep service will meet your expectations, and

5. Any errors in the software will be corrected.

Any material obtained through the use of the TooStep service is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the usage of any such material.

No advice or information, whether oral or written, obtained by you from TooStep or through or from the TooStep service shall create any warranty not expressly stated in this user agreement.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

10. Limitation of liability

Neither TooStep nor its affiliates, employees, agents or consultants shall in any event be liable for any indirect, incidental or consequential damages such as, but not limited to, loss of business information, loss of goodwill, business interruption or loss of anticipated profits or benefits resulting from use of the site or services or any part or whole of the content or arising out of any breach of warranty even if TooStep or its affiliates, employees, agents or consultants have been advised of the possibility of such damages. 
 

Such limitation of liability shall apply whether the damages arise from use or misuse of or reliance on TooStep information, from inability to use TooStep information, or from the interruption, suspension, or termination of access to the content or site (including such damages incurred by third parties). This limitation shall also apply, without limitation, to the costs of procurement of substitute content, loss of goodwill, loss of profits, or loss of data. Such limitation shall further apply with respect to the performance or non-performance of TooStep or any information that appears on, or is linked or related in any way to, the site provided thereunder. Such limitation shall apply not withstanding any failure of essential purpose of any limited remedy and to the fullest extent permitted by law. 

In no event shall the liability of TooStep or its affiliates, to you for any and all claims relating to the use of the services exceed the total amount of service fees that you paid during a period of 6 (six) months for the specific service at issue, immediately preceding the day on which the claim or the liability arose.

11. Acknowledgment

Our disclaimer and limited liability as set out in these terms of service are fundamental elements of the basis of the bargain services to be provided to you by us. You agree that we would not otherwise be able to offer services on its present basis without such limitations. This clause shall survive any termination of these terms of service.

12. Proprietary and intellectual property rights

TooStep is the owner and/or authorized user of any trademark, registered trademark and/or service mark appearing on the online channels of TooStep, and is the copyright owner or licensee of the content and/or information on the TooStep Service including but not limited to any text, images, illustrations, audio clips, video clips and screens appearing on the TooStep Service.  

All rights of the online channels of TooStep are reserved and you may not download and/or save a copy of the online channels of TooStep or any part thereof including any of the screens or part thereof and/or reproduce, store it in a retrieval system or transmit it in any form or by any means electronic, electrostatic, magnetic tape, mechanical printing, photocopying, recording or otherwise including the right of translation in any language without the express permission of the company (except as otherwise provided on the online channels of TooStep or in the terms and conditions for any purpose) or use it in any manner that is likely to cause confusion or deception among persons or in any manner disparages or discredits the company or the merchant. However, you may print a copy of the information on this site for your personal use or records. This online channel is for your personal use. If you make other use of this online channel, except as otherwise provided above, you may violate copyright and other laws of India and other countries, and may be subject to penalties. The company and the merchant do not grant any license or other authorization for usage of its trademarks, registered trademarks, service marks, or other copyrightable material or other intellectual property by placing them on the online channels of TooStep. 

13. Links to other websites 

The online channels of TooStep may contain hyperlinks to websites operated by parties other than TooStep. The inclusion of hyperlinks to such websites does not imply the TooStep's certification or endorsement of such websites nor any of its association with other operators. TooStep or its affiliates or associates or its employees do not provide any judgment or warranty in respect of the authenticity or correctness of the content of such other services or websites to which links are provided. A link to another service or website is not an endorsement of any product or service on such websites. You shall be solely responsible for any or all the consequences that arise out of your use of such hyperlinks to websites.

14. Termination

       
You agree that TooStep may, with or without cause, immediately terminate your TooStep account and access to the TooStep service without prior notice. Without limiting the foregoing, the following will lead to a termination by TooStep of a users use of the TooStep service

14.1 breaches or violations of this terms of service or other incorporated agreements or guidelines,

14.2  requests by law enforcement or other government agencies,

14.3  a request by you (self-initiated account deletions),

14.4 unexpected technical issues or problems, and

       14.5  extended periods of inactivity.

Termination of your TooStep account includes removal of access to all offerings within the TooStep service and may also bar you from further use of the TooStep service. Furthermore, you agree that all terminations shall be made in TooStep's sole discretion and that TooStep shall not be liable to you nor any third-party for any termination of your account or access to the TooStep service.

15. Governing law

All legal proceedings shall be subject to the jurisdiction of the courts in New Delhi, India and shall be governed by and construed in accordance with the laws of India and you agree to resolve the disputes under the arbitration and conciliation act 1996. The venue for such arbitration shall be at New Delhi, India.

16. Miscellaneous

1. Entire agreement: the terms of service constitutes the entire agreement between you and TooStep and governs your use of the TooStep service, superseding any prior agreements between you and TooStep.

2. Severability: any provision of this agreement which is invalid, prohibited or unenforceable in any jurisdiction shall: (i) be ineffective in that jurisdiction to the extent of the invalidity, prohibition or unenforceability; (ii) not invalidate the remaining provisions of this agreement; and (iii) not affect the validity of that provision in any other jurisdiction.

3. Relationship: this agreement or your use of online channels of TooStep does not constitute any joint venture, partnership, employment or agency relationship between you and TooStep.

4. Assignment: TooStep may assign this agreement at any time without a notice to you. You may not assign this agreement to any one else.

5. General information: TooStep, the TooStep logo, and other TooStep logos and names are trademarks of TooStep. You agree not to display or use these trademarks in any manner without TooStep's prior, written permission. The section titles of this terms of service are displayed for convenience only and have no legal effect.
